Terms of Service

1. Acceptance of terms

These Terms of Service ("Terms") are an agreement between you and GrubGuru, a company registered in British Columbia, Canada, which operates SEOAgent (the "Service") at seoagent.bot ("we", "us"). By creating an account or using the Service, you accept these Terms. If you use the Service on behalf of a business, you accept them for that business and confirm you are authorized to do so. If you do not agree, do not use the Service.

2. The Service

SEOAgent researches search queries your site can realistically rank for, drafts and scores SEO-optimized articles for them in the built-in editor, and can publish a finished article to a CMS you connect (WordPress, Ghost, Webflow, Shopify, Payload, or a signed webhook) and submit it for indexing. Connecting a CMS is optional; every article can also be copied out of the editor. See Integrations for exactly what's live. We may add, change or remove features over time.

3. Accounts

You can sign up with an email and password or with Google. You must be at least 16 years old. You are responsible for keeping your credentials and API keys secure and for all activity under your account. Keep the information on your account accurate.

4. Plans, credits and payment

Every paid operation in the Service (keyword research, article writing, images, rank and AI-visibility checks) costs credits, runs only when you start it, and is listed in your workspace's credit history. Credits are not money, have no cash value, cannot be transferred between workspaces, and are not refundable.

Each plan grants a number of sites and a monthly credit allowance. Plans bought on this site are billed monthly through Stripe and renew until cancelled; a cancelled plan runs to the end of the month already paid for. Changing plan takes effect at once, and the difference is charged or credited pro rata. A plan activated with a code follows the terms of the offer the code came with; a code works once, for one workspace, and stops working if its purchase is refunded. Monthly credits reset at the start of each calendar month (UTC) and do not roll over; credits earned with a review do not expire. Prices are shown before you pay and may exclude applicable taxes.

Fees are non-refundable except where the law requires a refund. Deleting your account stops any plan at once without a refund. If we terminate your account for breaking these Terms, no refund is owed.

5. Acceptable use

Do not use the Service to:

• generate or publish content that is unlawful, defamatory, infringing, or deceptive;
• publish to a site, or connect a Google property, CMS or analytics account, that you are not authorized to use;
• circumvent rate limits, credit holds, budgets or access controls, or share one account to get around plan limits;
• scrape, overload or reverse engineer the Service, or access accounts, data or systems that are not yours;
• resell the Service or its data as a competing product.

6. Your content and AI output

You own the content you put into the Service and the articles, images and reports it generates for your sites. You give us the permission we need to store, process and send that content to our sub-processors only to run the Service for you. Output is generated by AI models and can be inaccurate, similar to other published text, or unsuitable for your audience. Review it before you publish; you are responsible for what you publish.

7. Our property

We own the Service, including its software, design and documentation. Third-party names and marks mentioned in the Service belong to their owners and do not imply endorsement. If you believe content on seoagent.bot infringes your rights, email [email protected].

8. Third-party services

The Service connects to third-party services you choose, such as Google Search Console, Google Analytics, your CMS and Stripe. Your use of those services is governed by their own terms. We are not responsible for their availability, their changes, or what they do with data you send them directly.

9. Termination

You may cancel your plan (Settings → Billing) or delete your account (Settings → Account) at any time. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security or legal risk to the Service or other users. Sections that by their nature should survive termination (ownership, disclaimers, limitation of liability, governing law) do.

10. Disclaimers and limitation of liability

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of accuracy, availability, merchantability or fitness for a particular purpose. SEOAgent does not guarantee search rankings, traffic, indexing, or any particular outcome from published content.

To the maximum extent permitted by law, GrubGuru is not liable for indirect, incidental, special or consequential damages, or for lost profits, revenue, data or goodwill, arising from your use of the Service. Our total liability for any claim related to the Service is limited to the greater of the amount you paid us in the twelve months before the claim arose and one hundred Canadian dollars. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

11. Governing law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada that apply there. Disputes will be resolved in the courts of British Columbia, unless the law where you live gives you the right to bring a claim in your local courts.

12. Changes to these terms

We may update these Terms from time to time. When we do, we update this page and the effective date above; for a material change we make reasonable efforts to tell you before it takes effect. Continuing to use the Service after a change means you accept the updated Terms.
